1. Terms and Conditions: All sales are F.O.B. Climatic Control Company, Inc. or point of manufacture on non-stock items. Open account will be granted only after approval of a proper credit application by prospective customer. Payments on invoices are NET 30 days from date of purchase. Accounts that remain unpaid after 30 days are subject to a penalty of 1.5% per month (or the highest legal interest). This penalty will be added on delinquent accounts until the account is paid in full.

2. Minimum Billing and Special Orders: Because of the high cost of processing invoices, we have established a minimum billing of $25.00 on all charge or Credit Card transactions. Special orders may require a partial payment prior to processing the order.

3. Return of Goods: No material may be returned for credit without prior approval and a copy of the original purchase order (or CCC Invoice). Special order,or non-stock material is not returnable for credit. All returns are subject to a minimum 20% restocking charge. Electrical or Electronic components are not returnable under any condition unless they are in an unopened, factory sealed container. Call us at 1-800-242-1656 or, e-mail us for return authorization.

4. Design Changes: Manufacturers of products sold by Climatic Control Company, Inc. are constantly making improvements and changes in the pricing and design of their products. It is not possible to give advance notice of these changes in all cases. We therefore reserve the right to deliver goods of revised design unless otherwise agreed and requested in writing by the purchaser.

5. Title and Delivery: All shipments of goods shall be delivered F.O.B. Climatic Control Company, Inc.'s warehouse or Manufacturer's plant, and the liability for loss or damage thereto shall pass to Buyer upon Climatic Control Company, Inc. or Manufacturer tendering for delivery of the goods to a carrier for shipment to Buyer and any loss or damage thereafter shall not relieve Buyer from any obligation hereunder. Buyer shall be liable for costs of insurance and transportation, unless specifically stated as part of our quotation and/or invoice. Climatic Control Company, Inc. shall not be liable for any loss or expense incurred by Buyer for any delay or failure in delivery.

6. Taxes: The prices stated on our quotation do not include any sales, use, or other excise tax and the amount of any thereof which we are required to collect will be invoiced by you.

7. Contrary Terms and Conditions: Acceptance of your order is based specifically on the terms and conditions herein contained and the provisions of any purchase order or other writings inconsistent herewith shall be null and void whether set forth in your purchase order or any other document.

8. Warranty and Liability: Climatic Control Company, Inc. assigns to purchaser any and all warranties that are made by the manufacturers of the products or components we sell. The manufacturer's warranty is exclusive and in lieu of all other warranties whether written, oral, or implied, and we make no warranty of merchantability or fitness for a particular purpose nor do we warrant engineering, drawings, or other services provided by Climatic Control Company in packaging or combining of one or more manufacturer's products.

9. Warranty Claims: Defective products will be accepted in warranty and our customer's account credited if the product has failed within the manufacturer's published warranty period, and within the parameters of the manufacturer's limited warranty, and all necessary information is provided regarding the sale and installation of the product. The conditions of any tests of any component or any equipment alleged to be defective shall be mutually agreed upon and both manufacturer and Climatic Control Company, Inc., shall be notified of and may be represented at all tests that may be made. Our liability to you arising out of the supplying of the component parts or equipment, or its use, whether based on warranty, contract, or negligence, shall not in any case exceed the cost of correcting defects in the components and/or equipment as herein provided, or to provide a replacement for the defective product or to give credit based on the original cost of the product, and upon the expiration of the applicable warranty period, all such liability shall terminate. The foregoing shall constitute your sole remedy and our sole liability. In no event shall Climatic Control Company be liable for any special consequential damages.
